TERMS AND CONDITIONS OF BUSINESS

KEXOR GLOBAL PRIVATE LIMITED

1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern the sale of goods, provision of services, and use of the website/platform by Kexor Global Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Survey No. 60, Block Ft Shop No. 16, Al-Muqaam Circle, Juhapura, Ahmedabad, Gujarat, India, 380055 ("Company", "We", "Us").

By placing an order, requesting a quotation, or accessing our services, the client/buyer ("Customer", "You") agrees to be bound by these Terms. If you do not agree, strictly do not proceed with any transaction.

2. Definitions

  • "Goods": Refers to machinery, tools, industrial components, lathes, lifting equipment, or any other products manufactured, traded, or exported by the Company.
  • "Order": A formal purchase order or written confirmation from the Customer accepted by the Company.
  • "Quotation": The price estimation provided by the Company, valid for 5-7 days unless stated otherwise.

3. Orders and Contract

  • 3.1 Acceptance: No order submitted by the Customer shall be deemed accepted by the Company unless confirmed in writing (e.g., via Invoice or Order Acknowledgment).
  • 3.2 Accuracy: The Customer is responsible for ensuring the accuracy of the terms of any Order (including applicable specifications) submitted.
  • 3.3 Cancellation: No Order which has been accepted by the Company may be cancelled by the Customer except with the agreement in writing of the Company and on terms that the Customer shall indemnify the Company in full against all loss (including loss of profit), costs, damages, and expenses incurred.

4. Price and Payment

  • 4.1 Currency: Unless otherwise agreed in writing, all prices are quoted in Indian Rupees (INR) for domestic clients and USD/EUR for international exports.
  • 4.2 Taxes: Prices are exclusive of GST, customs duties, shipping, packaging, and insurance, which shall be charged additionally where applicable.
  • 4.3 Payment Terms:
    • Domestic: 100% advance or 70% advance and balance before delivery, as specified in the Invoice.
    • Exports: Irrevocable Letter of Credit (L/C) at sight or T/T (Telegraphic Transfer) as per agreed terms.
  • 4.4 Late Payment: If the Customer fails to make payment by the due date, the Company reserves the right to charge interest on the overdue amount at the rate of 18% per annum.

5. Delivery and Shipping

  • 5.1 Delivery Timeline: Delivery dates are estimates only. Kexor Global Private Limited shall not be liable for any delay in delivery of the Goods caused by Force Majeure or the Customer's failure to provide adequate delivery instructions.
  • 5.2 Ex-Works/FOB: Unless otherwise agreed, delivery is considered complete when goods are handed over to the carrier at our Ahmedabad facility (Ex-Works). Risk passes to the Customer at this point.
  • 5.3 Inspection: The Customer must inspect the Goods upon receipt. Any claims for damage or shortages must be notified in writing within 7 days of delivery.

6. Warranty and Liability

  • 6.1 Warranty: The Company warrants that the Goods will correspond with their specification at the time of delivery. A standard warranty of Product as specified in the specific product manual applies to manufacturing defects only.
  • 6.2 Exclusions: This warranty does not cover defects arising from:
    • • Fair wear and tear.
    • • Willful damage, negligence, or abnormal working conditions.
    • • Failure to follow the Company's instructions (oral or written).
    • • Misuse or alteration/repair of the Goods without the Company's approval.
  • 6.3 Limitation of Liability: To the maximum extent permitted by Indian law, the Company's total liability in contract, tort, or otherwise shall be limited to the purchase price of the Goods. The Company shall not be liable for indirect or consequential loss (e.g., loss of profit, business interruption).

7. Intellectual Property

All technical specifications, drawings, designs, and intellectual property rights related to the Goods remain the exclusive property of Kexor Global Private Limited. The Customer shall not reverse-engineer, copy, or reproduce any part of the Goods without express written consent.

8. Export Control

For international customers, the supply of Goods may be subject to export control laws and regulations. The Customer is responsible for obtaining any necessary import licenses or permits in their destination country.

9. Governing Law and Jurisdiction

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.

10. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, war, strikes, industrial disputes, fire, flood, or shortage of raw materials.
